1. Introduction

Welcome to NFRS Insights ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our web application located at nfrsinsights.com (the "Service").

By registering for or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Nature of the Service

NFRS Insights provides cloud-based software tools for financial reporting, calculation, and educational resources related to IFRS and NFRS.

Important Disclaimer:

The Service is a tool to assist professionals. It is not a substitute for professional accounting advice, audit opinions, or legal counsel. While we strive for accuracy in our logic and code, you are solely responsible for verifying the accuracy of all output, calculations, and reports generated by the Service before using them for official compliance or decision-making.

3. User Accounts & Security

  1. Account Creation: You must provide accurate and complete information when creating an account via our authentication provider (Google Firebase).
  2. Responsibility: You are responsible for safeguarding the password or credentials used to access the Service. You agree not to disclose your password to any third party.
  3. Liability: You are fully responsible for any activities or actions under your account, whether or not you have authorized such activities.

4. User Data & Ownership

  1. Your Data: You retain full ownership of all data, files, and inputs you upload or enter into the Service ("User Data"). We do not claim ownership over your User Data.
  2. License to Us: By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, and display your User Data solely as necessary to provide the Service to you (e.g., ensuring the database can store and retrieve your inputs).
  3. Data Loss: We utilize Google Firebase for secure data storage. However, we are not liable for any loss or corruption of User Data. You are encouraged to maintain your own backups.

5. Intellectual Property Rights

The Service and its original content (excluding User Data), features, and functionality including but not limited to calculation algorithms, code, design, and "NFRS Insights" branding are and will remain the exclusive property of NFRS Insights and its licensors.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as necessary for your own personal or internal business use of the Service.

6. Prohibited Uses

You agree not to use the Service:

  1. In any way that violates any applicable national or international law.
  2. To attempt to reverse engineer, decompile, or disassemble any portion of the Service (e.g., stealing our calculation logic).
  3. To transmit any viruses, malware, or other malicious code.
  4. To interfere with or disrupt the integrity or performance of the Service.

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any violation of these Terms.

7. Fees and Payment (If Applicable)

  1. Subscription: Some parts of the Service may be billed on a subscription basis. You agree to pay all fees in accordance with the pricing terms in effect at the time.
  2. Changes: We reserve the right to change our pricing at any time. Any price changes will take effect at the start of the next billing cycle.
  3. Refunds: Except when required by law, paid subscription fees are non-refundable.

8. Service Availability & "Beta" Disclaimer

  1. Third-Party Infrastructure: The Service runs on third-party infrastructure (Google Cloud/Firebase). We do not guarantee that the Service will be uninterrupted, secure, or error-free.
  2. Beta Features: We may release "Beta" versions of features. You acknowledge that these may contain bugs or errors and are used at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law: In no event shall NFRS Insights, its directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (A) your access to or use of or inability to access or use the Service; (B) any conduct or content of any third party on the Service; (C) any errors or omissions in financial calculations generated by the Service.

10. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this policy or by sending you an email. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
